Total Voting Rights and Capital

In accordance with the FSA's Disclosure and Transparency Rules, Close Brothers Group plc ("CBG") notify the market that as at 31 July 2013:

CBG's issued share capital consists of 147,756,150 ordinary shares of 25p each admitted to trading, each of which with one vote. 

This figure excludes 2,850,694 ordinary shares which have been bought back and held in treasury by CBG.  These shares are not taken into consideration in relation to the payment of dividends and voting at shareholders' meetings.

The total number of CBG shares in issue with voting rights is therefore 147,756,150 which figure may be used by shareholders (and others with notification obligations) as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, CBG under the FSA's Disclosure and Transparency Rules.
