Item 8.01. Other Events.

On April 15, 2020, Cleveland-Cliffs Inc. (the “Company”) announced that it had priced its private offering of $400 million aggregate principal amount of senior secured guaranteed notes due 2025 (the “Notes”). The Notes will bear interest at an annual rate of 9.875%. The Company expects to close the offering of the Notes on April 17, 2020, subject to the satisfaction of customary closing conditions. This announcement was contained in a press release, a copy of which is filed as Exhibit 99.1 hereto and is incorporated herein by reference.

This Current Report on Form 8-K does not constitute an offer to sell, nor a solicitation of an offer to buy, the Notes or any other securities. The Notes will not be and have not been registered under the Securities Act of 1933, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
