ClearVue signs Viridian - expands into New Zealand market

HIGHLIGHTS

12 May 2025 : Smart building materials company ClearVue Technologies Limited (ASX:CPV) ( ClearVue or the Company ) has expanded into New Zealand with a Manufacturing and Distribution Agreement signed with Viridian Glass Limited Partnership ( Viridian Glass ), the leading glass processing company in New Zealand.

This agreement marks ClearVue’s formal entry into the New Zealand market, strengthening its presence in the Asia-Pacific region. The partnership will facilitate the local manufacturing and distribution of ClearVue’s advanced solar-integrated glazing solutions, catering to the increasing demand for energy-efficient and sustainable building materials.

Under the five-year agreement, Viridian Glass has secured exclusive rights to manufacture ClearVue’s solar-integrated glazing products within New Zealand and distribution rights for ClearVue’s products and associated services across New Zealand.

Viridian Glass is New Zealand’s largest glass processor, supplying high-performance glazing solutions to commercial and residential markets. With a focus on energy efficiency, performance, and sustainability, Viridian Glass plays a key role in delivering high-quality glazing products to the New Zealand market.

With this partnership, ClearVue’s advanced solar PV glazing technology will be available locally, enabling New Zealand architects, developers, and builders to integrate energy-generating windows and building envelope integrated photovoltaics into projects seeking carbon reduction and enhanced energy efficiency.

ANNEXURE – KEY TERMS OF THE AGREEMENT

• Parties:

• Licensor: ClearVue Technologies Ltd (Australia)

• Licensee: Viridian Glass Limited Partnership (New Zealand)

• Effective Date : 9 May 2025

• Term: Initial Term: 5 years, with rights to extend

• Manufacturing Rights: exclusive rights to manufacture ClearVue’s solar-integrated glazing and façade products in New Zealand. Distribution Rights: non-exclusive distribution rights to distribute ClearVue’s solar-integrated glazing and façade products across New Zealand.

• Licence Fees & Royalties : Licence renewal fees payable quarterly in advance; Royalties calculated quarterly based on a fixed rate per square metre of product sold; Pricing of Components reviewed quarterly; purchase exclusively from ClearVue or its authorised suppliers.

• Licensee Obligations :

  • Purchase Components exclusively from ClearVue or approved suppliers.

  • Manufacture products strictly to ClearVue specifications, maintaining highest industry standards.

  • Responsible for transportation, distribution, and ensuring compliance with packaging and marking guidelines.

  • Obliged to meet minimum performance criteria each licence year; non-compliance risks territory reduction or licence termination.

  • Must maintain accurate records for audit purposes.

• Intellectual Property (IP) : All improvements and developments to ClearVue IP during the term assigned to ClearVue. ClearVue provides access to its IP, including necessary documentation and technical know-how.

• Quality Control : ClearVue (or its nominee) permitted periodic inspections and audits. Licensee must facilitate quality inspections and provide reporting.

• Warranty & Liability : usual warranties for an agreement like this including - ClearVue warrants IP ownership and freedom from third-party infringement claims; Components are warranted for defined periods. Licensee warrants capacity to manufacture and distribute, compliance with local laws, standards, and insurance requirements.

• Insurance : Licensee to maintain specified insurance cover.

• Ethics & Compliance : Anti-bribery and anti-corruption clauses included. Obligations for identifying and mitigating modern slavery risks within supply chains.

• Termination : Agreement subject to termination for material breaches, insolvency, failure to meet performance criteria, or breaches of ethical obligations.
