ClearVue signs MS Glass as Australian manufacturer

HIGHLIGHTS

8 January 2024 : Smart building materials company ClearVue Technologies Limited (ASX:CPV) ( ClearVue or the Company ) has secured a nationwide manufacturing and distribution agreement in Australia with Safety Glass Pty Ltd trading as Melbourne Safety Glass and MS Glass ( MS Glass ), a leading Australian glass processing specialist based in Victoria. The agreement marks ClearVue’s first licensee in its home country of Australia.

Under the three-year agreement (with two five-year renewals), MS Glass secures exclusive manufacturing and distribution rights for ClearVue [PV] solar integrated glass units (IGUs) for Victoria, New South Wales, Tasmania, Queensland and the Australian Capital Territory. In addition, ClearVue has granted MS Glass a sole license (with ClearVue retaining rights itself) to distribute ClearVue’s products into Western Australia, South Australia and the Northern Territory as well as a non-exclusive license to manufacture and supply the products to ClearVue (or as it directs) on an OEM basis for these territories and outside of Australia.

Commenting on the agreement, Martin Deil, Global CEO of ClearVue, said:

“We are delighted to partner with MS Glass for the first commercial rollout of our product along the east coast of Australia. This agreement couldn’t have come at a better time as we rapidly grow our pipeline of opportunities across the country.

“This agreement formalises the relationship between ClearVue and MS Glass built over the last 18 months.

“MS Glass, and in particular their Operations Manager Tim Boer, were one of four glass processors globally who shared their production facilities and industry knowledge with us. This helped us understand the nuances of IGU manufacture, enabling us to design a product that integrates seamlessly into existing production lines.

“The agreement with MS Glass completes the licensing of all four companies (AIT Group in the US, H T Glass in Singapore and our OEM YY Windows in China), whose input was instrumental in providing feedback to our design team.

Founded in the 1960’s and headquartered in Oakleigh Victoria, MS Glass operates a 15,000sqm modern processing facility and employs more than 70 staff.

The appointment of MS Glass builds on ClearVue’s growing list of global licensees including the recently appointed manufacturer and distributor H T Glass in Singapore, new distributors 8G Solutions in the US, Greendustrial Global in Israel, and Concept Business Group in South Africa.

ClearVue’s window technology has application for use in the building and construction and agricultural industries (among others). ClearVue has worked closely with leading experts from the Electron Science Research Institute, Edith Cowan University in Perth, Western Australia to develop the technology.

Appendix

Key Terms of Manufacturing & Distribution Agreement

The Distribution Agreement was made between ClearVue Technologies Limited and Safety Glass Pty Ltd (ACN 108 543 223) trading as Melbourne Safety Glass and MS Glass ( MS Glass ) of 1076 Centre Road, Oakleigh South, Victoria 3167 on 7 January 2024 ( Agreement ).

Under the terms of the Agreement, MS Glass is appointed as a manufacturer and distributor with:

  • the exclusive license to manufacture products incorporating the ClearVue technology at its facility in Oakleigh, Victoria;

  • the exclusive licence to distribute the products in Victoria, New South Wales, Tasmania, Queensland and the Australian Capital Territory for defined application areas (co-exclusive license to defined excluded application areas permitted);

  • a sole license (with ClearVue retaining rights itself) to distribute ClearVue’s products into Western Australia, South Australia and the Northern Territory;

  • non-exclusive license to manufacture and supply the products to ClearVue (or as it directs) on an OEM basis for the sole licensed territories and outside of Australia.

Key terms of the Manufacturing & Distribution Agreement include (amongst other things) that:

  • continuance of the license is subject to compliance with agreed minimum performance criteria related to numbers of IGUs being manufactured and sold each year, and compliance with the Agreement generally;

  • The term of the License will be 3 years (with 2 further 5-year extensions subject to agreement compliance and meeting the ongoing performance criteria and paying a licence renewal fee of AUD $500,000);

  • The licence includes a licence to use the ClearVue branding such that products to be sold during the term of the licence are to bear ClearVue’s trademarks;

  • Protection and ownership of intellectual property (ownership of improvements to ClearVue core IP to be owned by ClearVue;

  • Typical confidentiality obligations;

  • Australian law applies, courts of Western Australia as jurisdiction unless novation occurs (as above);

  • Restraint and non-compete; and

  • Dispute resolution via mediation followed by arbitration to be conducted in Australia through the Resolution Institute;

  • ESG focused clauses including antitrust and competition, anti-corruption and bribery, and modern slavery;

  • Termination for insolvency, acquisition event, breach of warranties, failure to comply with minimum performance criteria, force majeure or material breaches including in relation to IP breaches, confidential information.

  • other terms typical of a manufacturing and distribution licence agreement of this nature.
