ClearVue Signs My Glass Projects as first UK Licensee

increasing availability of its patented solar vision glass globally

13 November 2024: ClearVue Technologies Limited (ASX: CPV) ( ClearVue or the Company ) has entered into a Manufacturing and Distribution Licence Agreement with My Glass Projects Ltd ( My Glass Projects or MGP ), a glass fabrication company based in London, United Kingdom.

My Glass Projects is granted non-exclusive rights to manufacture and distribute products incorporating ClearVue's advanced photovoltaic glazing technology into the UK market, and exclusive rights to combine its heated glass technology with ClearVue technology to create self-powered heated glass.

MGP are specialist glass producers with decades of experience delivering quality products for bespoke and challenging projects, including the One World Trade Centre and the Ministry of Defence Building in Islamabad through to the Hopewell Shopping Centre in Hong Kong. MGP were selected to provide heated glass for the undercroft of the Lincoln Memorial to control external condensation, with ~300m2 of heated glass manufactured in MGP’s London factory and shipped to the US.

Commenting on the agreement, Martin Deil, Global CEO of ClearVue, said:

“This partnership represents a significant opportunity for ClearVue to expand into new markets and introduce our innovative technology to a wider audience, including a new ‘heated glass’ product with valuable applications in cold climates as well as tropical climates to control external condensation.

“We are excited our first partnership in the UK is with leading glazing specialist, My Glass Projects, who we have worked with for the past two years on trial projects. Combining My Glass Projects' heated glass technology with our solar glazing solution has created another commercially viable smart façade solution that takes autonomous glazing systems to the next level.

“My Glass Projects has also helped us collaborate with eLstar Dynamics to produce a combined demonstrator prototype that incorporates ClearVue's Solar Vision Glass product with eLstar's latest version of its electrophoretic dynamic glazing technology.

This Licence Agreement builds on a Collaboration Agreement between ClearVue and My Glass Projects signed in August 2022, which laid the foundation for joint development activities and initial testing of the combined technologies. Successful testing demonstrated the commercial viability of the combined products, leading to this current phase of engagement.

ANNEXURE: SUMMARY OF KEY TERMS OF THE LICENCE AGREEMENT

Parties Involved: ClearVue Technologies Limited (ClearVue) and My Glass Projects Ltd (the Licensee).

Agreement Type: Manufacturing and Distribution Licence Agreement, including OEM supply rights.

Effective Date: 12 November 2024.

Term: The initial term of the agreement is two years, with options to renew.

Other Key Terms:

Exclusive Manufacturing Rights: My Glass Projects is granted exclusive rights to manufacture the Combined Products that integrate both ClearVue’s solar photovoltaic technology and My Glass Projects' heated glass technology. The exclusivity applies to specific territories outlined in the agreement and provides My Glass Projects with the sole authority to produce these advanced products within the Manufacturing Territory.

Non-Exclusive Manufacturing Rights: For other products incorporating only ClearVue’s solar glazing technology (without My Glass Projects' heated glass), My Glass Projects has non-exclusive manufacturing rights.

Exclusive Distribution Rights: My Glass Projects has been granted exclusive distribution rights for the Combined Products within certain defined regions.

Non-Exclusive Distribution Rights: For ClearVue’s standalone solar glazing products, My Glass Projects has non-exclusive distribution rights within the Distribution Territory.

OEM Supply: Under the OEM Licence, My Glass Projects will also manufacture products for supply to ClearVue.

Revenue Sharing and Licence Fees: The Licensee is required to pay a licence renewal fee as well as a revenue share on all sales of both the Products and Combined Products. The revenue share will be calculated based on the gross sales revenue received, with specific percentages stipulated in the agreement.

Component Sourcing: The Licensee is required to source key components exclusively from ClearVue or its approved suppliers.

Intellectual Property: Ownership: ClearVue retains ownership of all intellectual property rights associated with its photovoltaic technology. Any new intellectual property developed during the course of the partnership that relates to ClearVue’s technology will be assigned to ClearVue.

Quality Control and Compliance: My Glass Projects is required to adhere to strict quality control standards as outlined by ClearVue.

Termination: The agreement may be terminated by either party in the event of a material breach that is not remedied within a stipulated period. Additionally, termination may occur if if certain financial conditions are not adhered to.

Extension and Renewal: The agreement includes provisions for renewal, subject to meeting certain performance benchmarks, including minimum sales volumes and adherence to quality standards. The renewal term will be negotiated prior to the expiration of the initial term.
