16 November 2023 : ClearVue Technologies Limited (ASX:CPV) ( ClearVue or the Company ), a leading smart building materials company, enters the African market by appointing Concept Business Group in South Africa as a new distributor.
Under the five-year agreement, Concept Business Group secures exclusive distribution rights for ClearVue[PV] solar integrated glass units (IGUs) in South Africa, Botswana and Lesotho and non-exclusive rights to distribute to other African territories. This agreement aligns with South Africa’s incentives to help businesses contribute to a more sustainable energy future and transition to renewable solutions, as part of government-backed programs to address their challenging energy grid.
Commenting on the agreement, Martin Deil, Global CEO of ClearVue, said:

ClearVue Technologies Limited (ASX: CPV) is an Australian technology company that operates in the Building Integrated Photovoltaic (BPIV) sector which involves the integration of solar technology into building surfaces, specifically glass and building façades, to provide renewable energy. ClearVue’s window technology has application for use in the building and construction and agricultural industries (among others). ClearVue has worked closely with leading experts from the Electron Science Research Institute, Edith Cowan University in Perth, Western Australia to develop the technology.

Appendix
Summary of Key Terms of Agreement
The Distribution Agreement is made between ClearVue Technologies Limited and Concept Business Group Pty Ltd (Reg No: 2007/019467/07) ( Concept ) of 12 Lewis Road, Elma Park, Edenvale, Gauteng, Republic of South Africa on 15 November 2023 ( Agreement ).
Under the terms of the Agreement, Concept is appointed:

the exclusive licensee to distribute windows and facades that use the ClearVue[PV] solar glazing components within the territories of South Africa, Botswana and Lesotho; and
-
the non-exclusive licensee to distribute into the nearby territories of Namibia, Mozambique, Swaziland, Zimbabwe, Zambia, Kenya, Rwanda, Angola, Ghana, DR Congo, Nigeria, Madagascar, Mauritius and Seychelles until such time as another exclusive distributor or manufacturer and distributor is appointed in each such jurisdiction.
Key terms of the Distribution Agreement include (amongst other things) that:

Exclusivity is subject to compliance with agreed minimum performance criteria related to numbers of IGUs being purchased each year from or through ClearVue or its licensed manufacturers and compliance with the Agreement generally;

Performance criteria includes requiring Concept to undertake any local certification testing of the ClearVue product for sale within the licensed territory and commencement of a demonstration project(s) being a project using at least 300 square metres of ClearVue PV IGU products to be ordered within 120 days of the date of the Agreement. Yr 2 requires minimum orders of 600 sqm of IGU products with each year increasing up to 3000 sqm in yr 5;

The term of the License will be 5 years (with 2 further 5-year extensions subject to agreement compliance and meeting the ongoing performance criteria and paying a licence renewal fee of USD $150,000);

ClearVue will supply (or direct the supply) of glass IGU’s and smart façade panels or components to Concept from its licensed OEM manufacturers subject to an agreed pricing schedule with pricing based on quantities ordered;

The licence includes a licence to use the ClearVue branding customised for the Southern African market with the main trademark to be used in the region as VuePV and such that products to be sold during the term of the licence are to bear ClearVue’s SA trademarks;

Protection and ownership of intellectual property (ownership of improvements to ClearVue core IP to be owned by ClearVue;

Typical confidentiality obligations;

Australian law applies, courts of Western Australia as jurisdiction;

ClearVue having the right to novate the Agreement at its convenience to its 100% controlled Netherlands subsidiary ClearVue Europe B.V; and

Dispute resolution via mediation followed by arbitration to be conducted in Netherlands;

other terms typical of a manufacturing and distribution licence agreement of this nature.
