ClearVue signs Licence for Distributor in Middle East, Distributor to place an initial order to build regional demonstrator

Highlights

• ClearVue signs Distribution Licence Agreement with Grafsol General Trading LLC in the United Arab Emirates

• Grafsol to place an initial order with ClearVue for IGU units to build a regional demonstrator, such order to count against Grafsol’s minimum performance requirements under the Distribution Licence Agreement

• Under the Distribution Licence Agreement Grafsol has become the exclusive licenced distributor of ClearVue’s technology and products for the United Arab Emirates, Kuwait, Bahrain and Qatar and a non-exclusive licenced distributor in Saudi Arabia

• Grafsol will purchase for resale ClearVue’s technology and products from ClearVue (or its other licenced manufacturers)

• Subject to performance the exclusive licence may be extended to include the right to manufacture in the region

27 February 2019: Smart building materials company ClearVue Technologies Limited (ASX:CPV) (“ ClearVue ” or “ the Company ”) is pleased to announce that it has signed a Distribution Licence Agreement with Grafsol Trading LLC (Company Number 761553) (hereafter “ Grafsol ”) for exclusive distribution rights in the United Arab Emirates, Kuwait, Bahrain and Qatar and non-exclusive distribution rights in Saudi Arabia. The Agreement formalises the MOU previously announced on 1 February 2019.

Grafsol General Trading LLC is an independent trading company in the business of importation and sale of green building products (amongst other things) in the United Arab Emirates ( UAE ) and has extensive contacts into the building industry and government agencies in the greater middle east region.

The terms of the Distribution Licence Agreement include (amongst other things) that:

• Grafsol will become the exclusive licencee to distribute the ClearVue products and technology in the territories of the United Arab Emirates, Kuwait, Bahrain and Qatar (the Exclusive Territory ) and the nonexclusive licenced distributor in the Kingdom of Saudi Arabia (the Non-Exclusive Territory );

• Subject to compliance with agreed performance criteria related to numbers of IGUs purchased and compliance with the Agreement, the licence may be extended to include the right to manufacture after 12 months;

• The term of the licence will be 5 years (with 2 further 5-year extensions again subject to agreement compliance and meeting ongoing performance criteria);

• ClearVue will supply glass IGU’s to Grafsol from its licenced manufacturers subject an agreed pricing schedule based on quantities ordered;

• ClearVue retains a carve-out on exclusivity after 3 years for large projects introduced from outside of the Exclusive Territories through large international architecture, engineering and construction groups;

• Other terms typical of a distribution licence agreement of this nature are included.

Grafsol has agreed that it will build a demonstration project in the region with the sale of IGUs for that project counting towards it first year’s minimum performance requirements under the Agreement. For the purposes of construction of the same, Grafsol will as soon as practicable after signing of the Agreement place an order on ClearVue for solar PV IGUs sufficient to build such regional demonstrator.

Commenting on the Distribution Licence Agreement, Executive Chairman Victor Rosenberg has said:

“The Grafsol Distribution Licence represents both appointment of our first formalized exclusive licenced distributor and ClearVue’s first opportunity to launch into the Middle East region. We look forward to working with Grafsol initially to deliver their first order then to assist them in setting up their proposed regional demonstrator and then to providing our sales support after that.”

Commenting on the MOU, CEO of Grafsol Trading LLC, Riaz Lodi has said:

“We are looking forward to working with ClearVue to develop the Middle Eastern opportunity for this unique and innovative technology and product. Our first task will be to build a demonstrator that we will then use to promote the product in the region and to this end will place an initial order on ClearVue for the ClearVue glass required for this purpose.
