GPG’S TAKEOVER BID FOR MMC CONTRARIAN LIMITED
-
GPG HAS INCREASED ITS HOLDING IN MMC CONTRARIAN TO 39.35%
-
GPG’S TAKEOVER OFFER CLOSES TOMORROW AND WILL NOT BE INCREASED OR EXTENDED[1]
Ecurb Australia Pty Limited, a wholly-owned subsidiary of Guinness Peat Group (Australia) Pty Limited ( GPG ), confirms in relation to its increased unconditional on market cash takeover bid for MMC Contrarian Limited ( MMC ) that:
-
GPG has now increased its shareholding in MMC to 39.35%;
-
the increased offer price of $0.50 per share is final and will not be further increased; and
-
the offer period ends at the close of trading tomorrow (Friday 23 October 2009) and will not be extended[1] .
Shareholders should note that:
The MMC share price may fall after the offer closes. MMC shares closed at only $0.41 per share on the day before the offer was announced.
Shareholders who do not accept the offer may become minority shareholders in MMC if GPG acquires more than 50% of MMC.
It may become more difficult for shareholders who do not accept the offer to sell their MMC shares on ASX after the offer closes because the liquidity for the remaining MMC shares is expected to decrease.
GPG’s offer is unconditional and provides MMC’s shareholders with the certainty of cash at a substantial premium to recent historical trading levels.
To accept the offer, shareholders should contact their stockbroker or other financial adviser immediately .
Yours sincerely

1 The offer period will not be extended unless there is a third party bid or if GPG’s voting power in MMC increases to more than 50% within the last seven days of the offer period.
