EXPLANATORY NOTE

This Registration Statement on Form S-8 is being filed by Clearside Biomedical, Inc., a Delaware corporation (the “Registrant”), pursuant to General Instruction E to Form S-8, to register 2,514,033 additional shares of the Registrant’s common stock, par value $0.001 per share (the “Common Stock”), to be issued pursuant to the Registrant’s 2016 Equity Incentive Plan (the “2016 EIP”).
