F1: The Kambiz and Bahareh Mahdi Living Trust, Mr. Mahdi's family trust, acquired 5,700,000 shares of common stock of the issuer from the Bijan and Sima Israel Family Trust pursuant to a settlement agreement dated June 19, 2012 in order to settle the additional paid in capital that Mr. Mahdi provided to KB Development Group, LLC, which in the company jointly owned by Mr. Israel and Mr. Mahdi.

F2: The shares of common stock are held directly by the Kambiz and Bahareh Living Trust, and indirectly by Kambiz Mahdi and Bahareh Mahdi as Trustees. Mr. Mahdi is the issuer's CEO and Chairman.

F3: Mr. Mahdi had paid approximatley $20,000 in additional paid in capital to KB Development Group, LLC for which he received 5,700,000 shares of common stock in settlement of that amount.
