City Service - Notification on material event

On the intention to acquire UAB Rolvika shares

Negotiation of 100% of the UAB Rolvika shares acquisition is ongoing by AB City Service (hereinafter - the Company). On 16 of July, 2014, the application for authorization of transaction was submitted to the Competition Council of the Republic of Lithuania. The end of negotiation and signing of share purchase - sale agreement is planned in due time. UAB Rolvika with its subsidiaries in Latvia and Lithuania is engaged in refrigeration, commercial food equipment manufacturing, installation and service. Total revenues in Lithuania in 2013 were 38.5 million LTL (11.15 million EUR), in Latvia - up to 4 million LTL (1.15 million EUR). The Company shall announce more information on the transaction after the authorization of Competition Council of the Republic of Lithuania is obtained and other share transfer procedures are successfully completed.
