On UAB Ecoservice share sale agreement

On 21 February, 2014, AB City Service (hereinafter - the Company) has signed an
agreement on sale of UAB Ecoservice shares (enterprise code 123044722). Value
of the transaction is LTL 56.6 million (EUR 16.4 million).

Shares of UAB Ecoservice are transferred to UAB AWT Holding. Control and
controlling interest of the later shall belong to 75% share owner BaltCap
Private Equity Fund II, with remaining 25% shares in Company‘s possession. The
transaction shall be closed after authorization from Competition Council of the
Republic of Lithuania and after fulfillment of other commitments and actions of
the parties provided in the agreement.

The Company shall announce more information on the transaction after its
closing.

UAB Ecoservice is a waste management company active in Lithuania, with its
secondary companies engaged in the collection, transportation and processing of
secondary raw materials and household waste.

BaltCap Private Equity Fund II is a private equity fund established by private
equity fund manager BaltCap, which invests into share capital and expansion of
small and mid-sized enterprises in the Baltics.
