The change in the shareholding and shareholding percentage level of KKRCW arises from the following:

(i) the tendering by KKRCW of all its 285,609,818 UEL Shares in acceptance of Offer, pursuant to the KKRCW Irrevocable Undertaking and the KKRCW Subscription Agreement, thus causing KKRCW to cease to have direct interests in UEL Shares. However, pursuant to the KKRCW Swap, KKRCW is expected to continue to have deemed interests in UEL Shares.

Pursuant to Regulation 5(b) of the Securities and Futures (Disclosure of Interests) Regulations 2012, KKRCW is exempted from making a disclosure pursuant to Part VII of the Securities and Futures Act, Chapter 289 of Singapore in relation to its deemed interests in the UEL Shares held indirectly by the Offeror during the period after the announcement of the Offer and before the Offer closes. KKRCW will make the necessary disclosure of its deemed interests in the UEL Shares held indirectly by the Offeror after the Offer closes.

For the purpose of this notice, the following words, expressions and abbreviations have the following meanings respectively ascribed to them:

"CB Offer" means the voluntary offer by Rothschild, for and on behalf of the Offeror to acquire all the Convertible Bonds;

"Code" means The Singapore Code on Take-overs and Mergers;

"Convertible Bonds" means the aggregate outstanding principal amount of US\$44.0 million convertible bonds due 2016 held by KKRCW, representing all the convertible bonds issued by UEL;

"KKRCW" means KKR China Water Investment Holdings Limited;

"KKRCW Irrevocable Undertaking" means the irrevocable undertaking provided by KKRCW to the Offeror on 11 November 2014 to, amongst other things, accept the Offer and the CB Offer;

"KKRCW Swap" means the acceptance by KKRCW of the Offeror's payment of part of the aggregate consideration that KKRCW would receive as a result of tendering (a) all its 285,609,818 UEL Shares in acceptance of the Offer and (b) its Convertible Bonds in acceptance of the CB Offer, in the form of new Offeror Shares;

"KKRCW Subscription Agreement" means the subscription agreement dated 11 November 2014 entered into between KKRCW and the Offeror in relation to the subscription of new Offeror Shares by KKRCW;

"Offer" means the voluntary conditional offer by Rothschild, for and on behalf of the Offeror to acquire all the UEL Shares in UEL other than those already owned, controlled or agreed to be acquired by the Offeror in accordance with Section 139 of the Securities and Futures Act, Chapter 289 of Singapore and Rule 15 of the Code;

"Offeror" means CKM (Cayman) Company Limited;

"Offeror Shares" means the issued and fully paid-up ordinary shares in the capital of the Offeror;
