CITIC Envirotech Ltd Completed The Acquisition Of The Two Municipal Wastewater Treatment Plants in Fujian Province, China

With reference to the announcement made on 2 April 2012, the Board of Directors of CITIC Envirotech Ltd (“CEL” or the “Company”) is pleased to announce that the Company has recently completed the transaction with Fujian Li Yang Environmental Protection Co Ltd to acquire two municipal wastewater treatment plants in Fuqing and Shaxian, Fujian Province, China.

Subsequent to the signing of the Share Transfer agreement on 31 March 2012, both parties agreed to revise the Share Transfer from 80% to 100% and the purchase consideration from RMB 116 million to RMB 132 million.

The acquisition consisted of 2 municipal wastewater treatment plants with treatment capacities of 120,000 m3/day in Fuqing and 30,000 m3/day in Shaxian respectively. Both plants are currently operating at full capacity and will be upgraded to Grade 1A discharge standard.

The Company has also recently completed an EPC project for the construction of a 200,000 m3/day municipal wastewater treatment plant in Fuzhou City, the capital of Fujian Province. It is one of the largest wastewater treatment plant using Membrane Bioreactor (MBR) technology in China. With the acquisition of Fuqing and Shaxian plants, the Company is poised to further increase its presence in Fujian Province.

The projects will be funded by the proceeds from the Company’s issuance of US$175 million senior perpetual securities in November 2015.

The acquisition is not expected to have any material financial impact on the net tangible assets per share and earning per share of the group for the financial year ending 31 December 2016.
