CITIC Envirotech Acquired An Engineering and Construction Company in China With Grade I Qualification

The Board of Directors (“Board”) of CITIC Envirotech Ltd (“CEL”, “Group” or “Company”) is pleased to announce that the Group has acquired an engineering and construction company in Chengdu City, Sichuan Province.

The acquisition of 100% of Sichuan Zhongyu Environment Management Co., Ltd (“Zhongyu Environment”) is at a consideration of RMB 45 million. Zhongyu Environment holds Grade I professional licenses for engineering and construction works, including municipal engineering and construction, electrical and mechanical engineering, fire safety, waterproofing, foundation building, river and lake restoration and water way construction. The Grade I qualification as an engineering contractor is awarded by the China government for excellence in engineering expertise.

The extensive professional engineering qualifications that Zhongyu Environment possesses will equip CEL with the necessary licenses to undertake civil and construction works for its projects. This will open the gateway for the bidding of large-scale Engineering, Procurement and Construction (“EPC”) projects in the environmental protection sector, including water treatment, water supply, river restoration and sponge cities, etc.

The capital injection of the above investment is from the proceeds of the issuance of the US$180,000,000 senior perpetual securities pursuant to its US$750,000,000 multicurrency perpetual securities issuance programme and bank financing.

The above acquisition does not constitute a discloseable transaction as defined in Chapter 10 of the Listing Manual of the SGX-ST.

The above investment has no material effect on the net tangible assets per share or earnings per share of the Company for the financial year ending 31 December 2017.

None of the directors or controlling shareholders of the Company has an interest, direct or indirect in the above Project.
