INCORPORATION OF SUBSIDIARIES

The Board of Directors (the “Board”) of CITIC Envirotech Ltd (“Company” or “Group”) wishes to announce that the Group has incorporated the following subsidiaries:

1. CITIC Envirotech Investment (China) Co., Ltd; and

2. CITIC Envirotech (Rudong) Co., Ltd.

CITIC Envirotech Investment (China) Co., Ltd, a wholly-owned subsidiary, has a registered capital of RMB 2 billion. It has been set up as an intermediate investment holding company in China to undertake the investments in China for the Group.

CITIC Envirotech (Rudong) Co., Ltd, a wholly-owned subsidiary, has a registered capital of RMB137 million. The subsidiary has been set up to undertake the proposed acquisition and upgrading of a 20,000m3/day industrial wastewater treatment plant and construction of a 40,000 m3/day deep-sea discharge tunnel for a total estimated sum of USD 50 million.

The 20,000 m3/day wastewater treatment plant (WWTP) and the proposed 40,000 m3/day deep-sea discharge tunnel are for the fine chemical industrial park in the Rudong Economic Development Zone. The fine chemical industrial park occupies a total land area of 26 square kilometers and houses more than one hundred enterprises.

The capital injection for the above registered capital of the subsidiaries are funded using the proceeds from the last issuance of Senior Perpetual Securities as well as bank financing.

The above investment has no material effect on the net tangible assets per share or earnings per share of the Company for the financial year ending 31 December 2016.

None of the directors or controlling shareholders of the Company has an interest, direct or indirect in the above investment.
