CITIC Envirotech Inked 3 Wastewater Treatment and Water Supply Projects Totaling RMB 263 Million


The Board of Directors of CITIC Envirotech Ltd. (“CITIC ET” or “Company”) is pleased to announce that the Company has recently secured 3 wastewater treatment and water supply projects with a total contract value of RMB 263 million (SGD 58 million) in China.

The first investment is the acquisition of 82.5% of the total issued share capital in Changan Co. Ltd., a company which was awarded a 20-year Build-Operate-Transfer “BOT” project to treat wastewater and supply industrial water to a textile industrial park in Nantong City, Jiangsu Province. The BOT project involves the construction and operation of a 40,000 m3/day industrial wastewater treatment plant, a 30,000 m3/day industrial water supply plant and a 10,000 m3/day wastewater recycling plant. The project is implemented in two Phases of equal capacities and Phase I is expected to enter into commercial operation by the fourth quarter of 2015. The consideration for the acquisition is RMB 100 million. The acquisition is a non-discloseable transaction under Chapter 10 of the Listing Manual as the relative figures as computed under Rule 1006 is less than 5%.

The second project involves the upgrading and expansion of a municipal wastewater treatment plant (WWTP) in Xinmin City, Liaoning Province. Xinmin WWTP was acquired by the Company in 2010. The Company has recently won a bid called by the local government to upgrade Xinmin WWTP using its advanced membrane bioreactor (MBR) technology to meet the higher Grade 1A standard and to expand the plant treatment capacity from 50,000 m3/day to 80,000 m3/day. The total investment is approximately RMB 120 million. When the upgrading is completed, the Company will enjoy an upward revision of water tariff.

The third project is a 50,000 m3/day BOT water supply project in Weishan County, Shandong Province. Phase 1 of the project which involves the construction of a 30,000 m3/day water treatment plant, is expected to start supplying water by end of 2015. Total investment for Phase 1 is approximately RMB 43 million.

The projects will be funded by the proceeds from the bond issued under the Company’s MTN program and bank financing.

The proposed investment is not expected to have any material financial impact on the net tangible assets per share and earning per share of the group for the financial year ending 31 December 2015.

None of the Directors and controlling Shareholders has any interest, direct and indirect (other than through their shareholdings in the Company) in the project.
