ANNOUNCEMENT

DISCUSSION WITH POTENTIAL INVESTORS

This announcement is made by CITIC Limited (the “ Company ”) pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”) and the Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

CITIC Limited notes the article in the Wall Street Journal on 4 December 2014 referencing the Company.

The Company met with many investors when it conducted the Placing (as defined in the Circular of the Company dated 14 May 2014) earlier this year. Twenty-seven investors participated in the Placing while others had not participated at that time. The Company has continued discussions with those investors who remain interested in cooperation with the Company. These discussions are at a very preliminary stage. The Company confirms that as at the date of this announcement, no binding agreement has been entered into by the Company with any investor. In addition, the Company engages in a wide range of discussions on potential opportunities with interested parties from time to time.

The Company will make further announcements as and when appropriate in compliance with the requirements of the Listing Rules and Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Shareholders and potential investors of the Company are advised to exercise caution when dealing in the securities of the Company.
