CIR: PRESENTATA LISTA COFIDE PER IL COLLEGIO SINDACALE

Milano, 3 aprile 2017 - CIR-Compagnie Industriali Riunite S.p.A. rende noto che la società COFIDE-Gruppo De Benedetti S.p.A., titolare di n. 363.771.164 azioni ordinarie CIR pari al 45,798% del capitale, è l'unico azionista ad aver presentato una lista per il rinnovo del Collegio Sindacale per gli esercizi 2017 – 2019 previsto in occasione dell'Assemblea ordinaria che si terrà il giorno 28 aprile 2017 alle ore 11 in seconda convocazione.

La lista riporta i seguenti candidati:

• 1. Zingales Riccardo

Candidati alla carica di Sindaco Supplente

Essendo stata presentata una sola lista, ai sensi del secondo comma dell'art. 144-octies della Delibera Consob n. 11971 del 14.5.1999 e successive modifiche ed integrazioni, si informa che possono essere presentate ulteriori liste sino al 5 aprile 2017; la soglia del 2% prevista dall'art. 19 dello Statuto sociale, come prescritto dal quinto comma dell'art. 144-sexies della Delibera, è ridotta alla metà.

CIR: COFIDE LIST PRESENTED FOR BOARD OF STATUTORY AUDITORS

Milan, April 3 2017 - CIR-Compagnie Industriali Riunite S.p.A. announces that the company COFIDE-Gruppo De Benedetti S.p.A., owner of 363,771,164 ordinary CIR shares equal to 45.798% of its capital, is the only shareholder to have presented a list for the renewal of the Board of Statutory Auditors for financial years 2017 – 2019 in view of the Annual General Meeting of the Shareholders that will be held on April 28 2017 at 11.00 at the second call.

The list contains the following candidates:

Candidates for the position of Alternate Auditor

• 1. Valdameri Luca

As only one list has been presented, pursuant to the second paragraph of Art. 144-octies of Consob Resolution no. 11971 of 14.5.1999 and subsequent amendments and additions, notice is hereby given that further lists may be presented by April 5 2017 at the latest; the 2% threshold stated in Art. 19 of the Company Bylaws, as required by paragraph five of Art. 144-sexies of the Resolution, is thus reduced by one half.

The curricula vitae and the documentation showing that the candidates accept their candidature and attesting that they possess the requisites required by law and by the Company Bylaws together with information on their personal and professional profiles will be available to the public as from April 6 on the authorized storage mechanism eMarket Storage, on the website www.cirgroup.com and at the registered office of CIR (Via Ciovassino 1, Milan).
