Dear Sir/Madam,

In furtherance to our intimation dated 29[th] January, 2021 w.r.t the unaudited financial results for the quarter and nine-months ended 31[st] December 2020, approved by the Board of Directors at its meeting held today, we wish to inform that, the Board on recommendation of the Nomination and Remuneration Committee, has also approved Cipla Employee Stock Appreciation Rights Scheme- 2021 (ESAR Scheme) under the SEBI (Share Based Employee Benefits) Regulations, 2014 (SBEB Regulations), for providing grant of up to 1,75,00,000 stock appreciation rights (ESARs).The total number of equity shares to be issued toward appreciation of the ESARs shall not exceed 33,00,000. The exercise period of ESARs will be not later than five years from the respective date of vesting. This ESAR Scheme is subject to the approval of the shareholders through postal ballot and will be instituted only after such approval has been received and will be implemented in compliance with the applicable regulations including the SBEB Regulations.

The said Board meeting of the Company which commenced at 2.00 p.m. was concluded at 6.00 p.m.
