On November 9, 2023, Cipher Mining Inc. (the “Company”) was informed that its controlling shareholder, Bitfury Top HoldCo B.V. (“Bitfury”), sold 10,000,000 shares of the Company's common stock, pursuant to the Company's Registration Statement on Form S-3 (File No. 333-271641). The full text of the press release Bitfury issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K (the “Report”).
