Item 8.01. Other Events.

On May 19, 2021, Cipher Mining Technologies Inc. (“Cipher”), which is party to an agreement to combine with the Company, issued a press release announcing it had entered into a contract with Standard Power. Standard Power will provide hosting capacity that will accommodate 200 megawatts (MW) of power capacity for Cipher’s planned operations. Cipher will also have an option to secure additional hosting capacity to allow for another 100 MW of power capacity. A copy of that press release is attached hereto as Exhibit 99.1
