Subject:Conclusion of a credit agreement with Santander BankPolska S.A.

The Management Board of Cl Games SE with its registered office in Warsaw(the "Company") hereby announces that on December 17, 2025, the Companyentered into a foreign currency working capital loan agreement withSantander Bank Polska S.A. with its registered office in Warsaw(hereinafter referred to as "Santander") for EUR2.600.000,00 (hereinafter referred to as the "Agreement", "Loan")as part of the second tranche of financing. The Loan was granted tofinance current business operations of the Company. The Loan repaymentdate is January 31, 2027.

The Loan is secured by a blank promissory note issued by the Company,together with a promissory note declaration, and by a Loan repaymentguarantee issued to the Santander by the Korporacja Ubezpieczeń KredytówEksportowych, a joint-stock company with its registered office in Warsaw(the "Guarantee"), in the amount of 80% of the Loan, i.e.,EUR 2,080,000.00. The Guarantee is further secured by blank promissorynotes issued by the Company, accompanied by promissory notedeclarations, and a declaration of submission to enforcement by theCompany pursuant to Article 777(1)(5) of the Code of Civil Procedure.

The remaining provisions of the Agreement do not deviate from marketconditions for this type of agreement.
