ZAWIADOMIENIE

w trybie art. 69 ust. 1 pkt 1) oraz art. 69a ust. 1 pkt 3) ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych

Działając imieniu Zawiadamiających www (pełnomocnictwa w załączeniu), na podstawie art. 69 ust. 1 pkt 1) oraz art. 69a ust. 1 pkt 3) ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej: (dalej: "Ustawa"), niniejszym zawiadamiam, że że w wyniku transakcji przeprowadzonej w dniu 11 maja 2022 r., AOF nabył 18.659.651 akcji Spółki uprawniających do 18.659.651 głosów na walnym zgromadzeniu Spółki, co stanowi 10,20% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki ("Nabycie")

Bezpośrednio przed nabyciem AOF posiadał bezpośrednio 7.182.788 akcji Spółki uprawniających do 7.182.788 głosów na walnym zgromadzeniu Spółki, co stanowiło wówczas 3,93% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki.

Po Nabyciu AOF posiada bezpośrednio 25.842.439 akcji Spółki uprawniających do 25.842.439 głosów na walnym zgromadzeniu Spółki, co stanowi 14,13% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki.

Żadne podmioty zależne od AOF nie posiadają akcji Spółki ani nie są uprawnione do wykonywania głosów z akcji Spółki. AOF jest podmiotem zależnym od Active Ownership Capital S.à r.l., która jest współkontrolowana przez Active Ownership Advisors GmbH (spółka zależna od Floriana Schuhbauera) oraz przez Active Ownership Investments Ltd. (spółka pośrednio zależna, poprzez Active Ownership LP oraz Active Ownership Management Ltd., od Klausa Röhriga).

NOTIFICATION

pursuant to Art. 69.1.1) and Art. 69a.1.3) of the Polish Act on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies

Acting on behalf of the Notifying Parties (attached: the relevant powers of attorney), pursuant to Art. 69.1.1) and Art 69a.1.3) of the Act of 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies (the "Act"), I hereby notify you that: as a result of trade transaction executed on 11 May 2022, AOF acquired 18,659,651 shares in the share capital of the Company representing 18,659,651 votes, which constitute 10.20% of the overall number of the shares and votes at the general meeting of the Company (the "Acquisition").

Prior to the Acquisition, AOF held directly 7,182,788 shares in the share capital of the Company representing 7,182,788 votes, which constituted at that time 3.93% of the overall number of the shares and votes at the general meeting of the Company.

After the Acquisition, AOF holds directly 25,842,439 shares in the share capital of the Company representing 25,842,439 votes, which constitute 14.13% of the overall number of the shares and votes at the general meeting of the Company.

No subsidiaries of AOF hold any shares in the share capital of the Company nor are they entitled to exercise any votes attached to the shares in the share capital of the Company. AOF is a company controlled by Active Ownership Capital S.à r.1., jointly controlled by Active Ownership Advisors GmbH (a company controlled by Florian Schuhbauer) and Active Ownership Investments Ltd. (a company indirectly, through Active Ownership LP and Active Ownership Management Ltd., controlled by Klaus Röhrig).

Nie występują osoby, o których mowa w art. 87 ust. 1 There exist no such persons as referred to in Art. pkt 3 lit. c. Ustawy.

Zadnemu z Zawiadamiających nie przysługują głosy z None of the Notifying Parties are entitled to exercise akcji Spółki, do których nabycia którykolwiek z Zawiadamiających jest uprawniony lub zobowiązany jako posiadacz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1) Ustawy, oraz instrumentów finansowych o których mowa w art. 69b ust. 1 pkt 2) Ustawy, które nie są wykonywane wyłącznie przez rozliczenie pieniężne.

Zadnemu z Zawiadamiających nie przysługują głosy z None of the Notifying Parties are entitled to any akcji Spółki, do których w sposób pośredni lub voting rights attached to the Company's shares to bezpośredni odnoszą się instrumenty finansowe, o which the financial instruments refered to in których mowa w art. 69b ust. 1 pkt 2) Ustawy.

87.1.3.c of the Act.

any voting rights attached to the shares in the Company that a Notifying Party is entitled or required to acquire as a holder of the financial instruments referred to in Art. 69b.1.1) of the Act and the financial instruments referred to in Art. 69b.1.2) of the Act that are not exercisable solely by means of a cash settlement.

Art. 69b.1.2) of the Act relate directly or indirectly.
