Subject:_#160;Conclusionof a credit agreement with PKO BP S.A.

The ManagementBoard of Cl Games SE with its registered office in Warsaw (the "Company")hereby informs that on 27 March 2023, the Company concluded withPowszechna Kasa Oszczędności Bank Polski Spółka Akcyjna with itsregistered office in Warsaw (hereinafter: "PKOBP") a non-revolving operating creditagreement in the amount of 20,000,000 zloty (hereinafter: the "Agreement","Loan").The Loan was granted for the period from 27 March 2023 to 30 November2023.

The Loan issecured by:

1. Registeredpledge and a civil pledge on shares of the Company held by shareholderMarek Lech Tymiński.

2. Guarantee ofrepayment of the Loan granted by Bank Gospodarstwa Krajowego ("BGK")with a blank promissory note and a promissory note declaration, issuedby the Company for BGK.

3. Declarationof the Company of submission to execution with respect to claims of PKOBP under the Agreement, pursuant to art. 777 §1 point 5 of the Code ofCivil Procedure.

The provisionsof the Agreement do not deviate from market conditions for this type ofagreement.
