EXTRAORDINARY INFORMATION

on the transfer and acquisition of insurance portfolios formed by group insurance contracts

CIG Pannonia Life Insurance Private Limited Company (registered office: H-1097 Budapest, Könyves Kálmán körút 11.B, company registration nr.: 01 10 045857, hereinafter referred to as Company) hereby informs its Esteemed Shareholders and other members of the public that the Company as well as CIG Pannonia First Hungarian General Insurance Plc. (registered office: H-1097 Budapest, Könyves Kálmán körút 11.B, company registration nr.: 01 10 046150) as a 100% subsidiary (collectively: CIG Pannonia Insurance) as part of its previously published Growth Strategy1 containing development directions and objectives, the CIG Pannonia Insurance have concluded the following portfolio transfer agreements with the following insurance companies in order to strengthen their alternative (affinity) sales channel. Pursuant to the portfolio transfer agreements, CIG intends to acquire the portfolios consisting of the following group insurance contracts 2 in accordance with Section 118 of the Business of Insurance Act and market standards3.

The Company emphasizes that the acquisition of the portfolios listed below is subject to the decision/approval of the Hungarian Competition Authority (in Hungarian: "Gazdasági Versenyhivatal") in accordance with competition law, as well as the approval of the National Bank of Hungary (in Hungarian: "Magyar Nemzeti Bank") (in the case of the below mentioned number 5. portfolio transfer agreement is subject to the approval of the Prudential Supervision and Resolution Authority of France, in French: "Autorité de Contrôle Prudentiel et de Résolution").
