Subject:Changes to the composition of the Supervisory Board of CIECH S.A.

The Management Board of CIECHS.A. (the“Company”) herewith informs that on 23January 2020, the Extraordinary Meeting of the Company appointed MrŁukasz Rędziniak as a new member of the Supervisory Board of the Company.

Mr Łukasz Rędziniak’s CV

Born in 1968. Attorney-at-law,graduate of the Faculty of Law and Administration of the JagiellonianUniversity.

Since 1996, a member of theDistrict Bar Association in Warsaw. In 1990–1991, a research assistantat the Faculty of Law and Administration of the Jagiellonian University.

Lawyer at Consoft Consulting Sp.z o.o. (1991 - 1992); attorney-at-law in an individual law firmcooperating with Dewey Ballantine Sp. z o.o. (1997 - 2000), lawyer atDewey & LeBoeuf LLP (1993 - 2007), and a partner of this law firm since2001.

In 2007–2009, Undersecretary ofState in the Ministry of Justice of the Republic of Poland. Since 2009,the managing partner of the office of Studnicki Płeszka ĆwiąkalskiGórski Sp. K. in Warsaw.

Since 2013, Member of theManagement Board of Kulczyk Investments S.A.

In 2004-2007 and 2013-2015, hewas a Member and Secretary of the Supervisory Board of Firma OponiarskaDębica S.A. He is the Chairman of the Board of Directors of SerinusEnergy plc, and a member of the Supervisory Board of both AutostradaWielkopolska S.A. and SCT Broker Sp. z o.o.

Independent Member of theSupervisory Board of Firma Oponiarska Dębica S.A., and a Member of theAudit Committee in this company.

According to the submitteddeclaration, Mr Łukasz Rędziniak does not conduct any activity incompetition to CIECH S.A.; he does not participate in a companycompetitive to CIECH S.A. as a partner in a registered partnership,general partnership or as a member of a governing body of a company witha share capital, or as a member of a governing body in any othercompetitive legal entity. He has not been entered in the Register ofInsolvent Debtors maintained pursuant to the Act on the National CourtRegister of 20 August 1997.

According to the submitteddeclaration, Mr Łukasz Rędziniak does not meet the criteria ofindependence within the meaning of the Act of 11 May 2017 on StatutoryAuditors, Audit Firms and Public Oversight, and within the meaning ofAnnex II to the European Commission Recommendation 2005/162/EC of 15February 2005 on the role of non-executive or supervisory directors oflisted companies and on the committees of the (supervisory) board, aswell as the criteria described in the Code of Best Practice for WSEListed Companies 2016.
