PROFIT WARNING

This announcement is made pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on the Growth Enterprise Market of the Stock Exchange of Hong Kong Limited and the Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board of directors (the “Board”) of China Ground Source Energy Industry Group Limited (the “Company”) wishes to inform the shareholders of the Company and potential investors that, based on information currently available, the results of the Company and its subsidiaries (collectively the “Group”) for the nine months ended 30 September 2016 is expected to record a loss as compared to a profit for the last corresponding period in 2015.

Such loss was mainly attributable to (i) the decrease in gross profit margin; and (ii) the significant decrease in the aggregate fair value arising from revaluations of the investment properties of the Group.

As the Company is still in the process of finalizing the results for the nine months ended 30 September 2016, the information contained in this announcement is only based on the preliminary assessment by the Company’s management according to the unaudited consolidated management accounts of the Group for the nine months ended 30 September 2016. The unaudited results announcement of the Group for the nine months ended 30 September 2016 is expected to be released on 27 October 2016.

Shareholders of the Company and potential investors should exercise caution when dealing in the shares of the Company.
