Item 8.01. Other Events.

On May 13, 2014 Churchill Downs Incorporated (the “Company”) and Saratoga Casino and Raceway (“SCR”), announced that the Company and SCR will partner in bidding for the Capital Region’s commercial casino license to build an estimated $300 million world class destination resort casino in the Town of East Greenbush, New York.

A copy of the joint press release announcing the partnership by the Company is filed as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
