Item 7.01. Regulation FD Disclosure.

Churchill Downs Incorporated (CDI or the Company) (NASDAQ: CHDN), announced Tuesday, Nov. 20, 2012, that its Board of Directors had declared a dividend of $0.72 cents per share on CDI's common stock, payable Dec. 21, 2012, to shareholders of record on Nov. 28, 2012. The Board of Directors also approved accelerating the typical January annual payment to Dec. 21, 2012, to take advantage of existing 2012 tax rates, due to the uncertainty over the tax rates that will be in effect in 2013.
