Item 7.01. Regulation FD Disclosure.

On December 1, 2006, Churchill Downs Incorporated issued a press release announcing that it is restructuring its corporate work unit and reducing its corporate organization by 22 full-time positions, approximately 30 percent of the full-time corporate workforce.
