Churchill China plc (the Company)

Transaction in Own Shares and Total Voting Rights

The Company announces that on 11 December 2014 it bought 16,000 ordinary shares of 10p each in the Company ('Ordinary Shares') at a price of 560 pence per Ordinary Share to be held in Treasury. Following the above transaction the Company holds 48,000 Ordinary shares in Treasury.

In conformity with the Disclosure and Transparency Rules we would like to notify the market of the following:

The Company's total issued share capital is 10,957,976 Ordinary Shares and the total number of voting rights is now 10,909,976.

The above figure of 10,909,976 may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change in interest in, the Company under the FCA's Disclosure and Transparency Rules.
