Item 5.03 Amendment to the Articles of Incorporation or Bylaws; Change in Fiscal Year

On November 20, 2014, the Board of Directors amended Section 13.2.2 of the Organizational Regulations of ACE Limited to state that “Executive Management” as defined by Swiss corporate law shall consist of the company’s chief executive officer, chief financial officer, general counsel and such other members as the Board of Directors may appoint from time to time. The chief accounting officer and the chief investment officer were deleted from the list of officers that are automatically part of the “Executive Management” body of the company.

A copy of the Organizational Regulations is attached hereto as Exhibit 3.1 and incorporated herein by reference.
