Item 1.01 Entry into a Material Definitive Agreement.

On November 2, 2007, Provista Renewable Fuels Marketing, LLC, a consolidated joint venture in which we have a 50 percent ownership interest, amended its $25 million committed line of revolving credit. The primary amendment was to extend the maturity date to November 4, 2009. Total guarantees on the facility remain at $20 million, with our gurantee decreasing to $10 million, and US BioEnergy Corporation guaranteeing the other $10 million.
