Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective May 1, 2006, Glen Keppy resigned from the CHS Inc. board of directors due to his appointment by President Bush as assistant administrator for the Farm Service Agency within the U.S. Department of Agriculture. The vacant board position will not be filled until the election of directors at the next annual meeting of members.
