In compliance with the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that a meeting of the Board of Directors of the Company was held on 8[th] day of February, 2020 at the Registered Office of the Company at 6-2-913/914, 3[rd] Floor, Progressive Towers, Khairatabad, Hyderabad500004 and the following items were considered and taken on record and approved:

1. KSR Enterprises Private Limited have subscribed for 2,00,000 Nos convertible warrants against their balance entitlement of 2,00,000 by bringing the balance amount of Rs.33.75 for each warrant. VBC Ferro Alloys Ltd issued 2,00,000 No of Equity Shares of Rs.10/- each with a premium of Rs.35/- for each equity share to KSR Enterprises Private Limited by converting convertible warrants into Equity Shares.

2. Frontline Enterprises Limited have subscribed for.9,00,000 Nos convertible warrants against their entitlement of 9,00,000 by bringing the balance amount of Rs.33.75 for each warrant. VBC Ferro Alloys Ltd issued 9,00,000 No. of Equity Shares of Rs.10/- each with a premium of Rs.35/- for each equity share to Frontline Enterprises Limited by converting convertible warrants into Equity Shares.
