We wish to inform you that the Board of Directors of the Company through Circular Resolution dated 14[th] January, 2021 has appointed Mr. Vijay V. Chowgule (DIN: 00018903) and Mr. Ramesh L. Chowgule (DIN: 00018910) as an additional directors with effect from 14[th] January, 2021 on the Board of the Company.

Further, as per the requirement of the circular No. List/Comp/14/2019-19 dated 20th June, 2018 issued by BSE on the subject of enforcement of SEBI orders regarding appointment of Directors by listed companies we hereby affirm that Mr. Vijay Chowgule and Mr. Ramesh Chowgule are not debarred from holding the office of director by virtue of any order of SEBI or any other such authority.

The details required under Regulation 30 of the SEBI Listing Regulations read with para A of part A of Schedule III to the SEBI Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9th September, 2015 are given in the enclosed Annexure-I.
