Remarks (if any):

  1. During March of 2012, Add Treasure Holdings Limited (the “Offeror) made mandatory unconditional cash offers for all the issued shares in the Company not yet owned or agreed to be acquired or subscribed by China State Construction International Holdings Limited, the Offeror and persons acting in concert with any of them, and for the cancellation of all the outstanding share options (the “Option Offer”) (and collectively referred to as the “Offers”). At the close of the Offers on 26 March 2012, share options in respect of 68,251,000 Shares were cancelled as a result of valid acceptances under the Option Offer. According to the share option scheme of the company, all other share options not yet exercised lapsed automatically at the close of the Offers.
