Proxy Form for Extraordinary General Meeting to be held on 13 February 2009 (Friday)

1.	“That the agreement dated 19 December 2008 (the “Agreement”) entered into between the Company and (Offshore Oil Engineering Co., Limited) (“CNOCC Engineering”) in respect of the building of the jack-up rigs to be named “COSL 922”, “COSL 923” and “COSL 924” by CNOCC Engineering for the Company pursuant to the Agreement, a copy of which has been produced at this Meeting and signed by the Chairman of this Meeting for identification purposes, be and is hereby approved, ratified and confirmed, and the directors of the Company, acting together, individually or by committee, be and are hereby authorised to execute all such documents and/or to do all such acts on behalf of the Company as they may consider necessary, desirable or expedient for the purpose of, or in connection with, the implementation and completion of the Agreement and the transactions contemplated therein.”
