PROPOSED RE-ELECTION OF RETIRING DIRECTORS, PROPOSED GRANTING OF GENERAL MANDATES TO REPURCHASE SHARES AND TO ISSUE SHARES, RE-APPOINTMENT OF AUDITOR, CLOSURE OF REGISTER OF MEMBERS AND NOTICE OF ANNUAL GENERAL MEETING
Capitalised terms used in this cover page shall have the same meanings as those defined in the section headed "Definitions" of this circular. A notice convening the Annual General Meeting of China Harmony Auto Holding Limited to be held at Caine Room, Level 7, Conrad Hong Kong, Pacific Place, 88 Queensway, Hong Kong on Wednesday, 18 June 2025 at 10:00 a.m. is set out on pages 19 to 23 of this circular. A form of proxy for use at the Annual General Meeting is also enclosed. Such form of proxy is also published on the websites of Hong Kong Exchanges and Clearing Limited (http://www.hkexnews.hk) and the Company (http://www.hexieauto.com).
Whether or not you are able to attend the Annual General Meeting, please complete and sign the enclosed form of proxy for use at the Annual General Meeting in accordance with the instructions printed thereon and return it to the Company's branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong as soon as possible but in any event not less than 48 hours before the time appointed for the holding of the Annual General Meeting (i.e. not later than 10:00 a.m. on Monday, 16 June 2025) or any adjournment thereof. Completion and return of the form of proxy will not preclude Shareholders from attending and voting in person at the Annual General Meeting or any adjournment thereof (as the case may be) if they so wish and in such event, the form of proxy shall be deemed to be revoked. DEFINITION
In this circular, unless the context otherwise requires, the following expressions shall have the following meanings:
“Annual General Meeting” the annual general meeting of the Company to be held at Caine Room, Level 7, Conrad Hong Kong, Pacific Place, 88 Queensway, Hong Kong on Wednesday, 18 June 2025, at 10:00 a.m., to consider and, if appropriate, to approve the resolutions contained in the notice of the meeting which is set out on pages 19 to 23 of this circular, or any adjournment thereof
“Articles of Association” the articles of association of the Company currently in force

LETTER FROM THE BOARD
1. INTRODUCTION
The purpose of this circular is to provide the Shareholders with information in respect of certain resolutions to be proposed at the Annual General Meeting.
2. PROPOSED RE-ELECTION OF RETIRING DIRECTORS
As at the Latest Practicable Date, the executive Directors are Mr. FENG Changge, Mr. FENG Shaolun, Mr. LIU Fenglei, Ms. MA Lintao and Mr. CHENG Junqiang; and the independent non-executive Directors are Mr. WANG Nengguang, Mr. LAU Kwok Fan and Mr. SUNG Ka Woon. Pursuant to Article 84 of the Articles of Association, Mr. FENG Changge, Mr. FENG Shaolun and Mr. CHENG Junqiang, being the executive Directors will retire by rotation at the Annual General Meeting.
All of the above retiring Directors, being eligible, will offer themselves for re-election at the Annual General Meeting. The Nomination Committee and the Board have reviewed the structure and composition of the Board, and the overall contribution and service to the Company of Mr. FENG Changge, Mr. FENG Shaolun and Mr. CHENG Junqiang (the "Retiring Directors") and their level of participation and performance on the Board. Given their respective education background, in-depth experience and practice with reference to the nomination principles and criteria set out in the Company's Board Diversity Policy and the Nomination Policy, and the Company's corporate strategy which allow them to provide valuable and relevant insights and contribute to the diversity of the Board, the Board believes that the re-election of each of the Retiring Directors as a Director is in the interests of the Company and the Shareholders, and therefore recommends the Shareholders to re-elect each of them as a Director at the Annual General Meeting.
3. PROPOSED GRANTING OF GENERAL MANDATE TO REPURCHASE SHARES
At the annual general meeting of the Company held on 18 June 2024, a general mandate was granted to the Directors to repurchase Shares. Such mandate will lapse at the conclusion of the Annual General Meeting. In order to give the Company the flexibility to repurchase Shares if and when appropriate, an ordinary resolution will be proposed at the Annual General Meeting to approve the granting of the Share Buy-back Mandate to the Directors to repurchase Shares on the Stock Exchange of not exceeding 10% of the total number of issued Shares (excluding any treasury Shares, if any) as at the date of passing of the proposed ordinary resolution contained in item 4 of the notice of the Annual General Meeting as set out on pages 19 to 23 of this circular (i.e. a total of 152,326,467 Shares, based on 1,523,264,677 Shares in issue as at the Latest Practicable Date and assuming that the issued share capital of the Company remains unchanged from the Latest Practicable Date to the date of the Annual General Meeting).

The Directors wish to state that they have no immediate plan to repurchase any Shares pursuant to the Share Buy-back Mandate.
An explanatory statement required by the Listing Rules to provide the Shareholders with requisite information reasonably necessary for them to make an informed decision on whether to vote for or against the granting of the Share Buy-back Mandate is set out in Appendix II to this circular.
4. PROPOSED GRANTING OF GENERAL MANDATE TO ISSUE SHARES
At the annual general meeting of the Company held on 18 June 2024, a general mandate was granted to the Directors to issue Shares. Such mandate will lapse at the conclusion of the Annual General Meeting. In order to give the Company the flexibility to issue Shares (including any sale or transfer of treasury Shares, if any) if and when appropriate, an ordinary resolution will be proposed at the Annual General Meeting to approve the granting of the Issuance Mandate to the Directors to allot, issue or deal with additional Shares (including any sale or transfer of treasury Shares out of treasury, if any) of not exceeding 20% of the total number of issued Shares (excluding any treasury Shares, if any) as at the date of passing of the proposed ordinary resolution contained in item 5 of the notice of the Annual General Meeting as set out on pages 19 to 23 of this circular (i.e. a total of 304,652,935 Shares, based on 1,523,264,677 Shares in issue as at the Latest Practicable Date and assuming that the issued share capital of the Company remains unchanged from the Latest Practicable Date to the date of the Annual General Meeting). An ordinary resolution to extend the Issuance Mandate by adding the number of Shares repurchased by the Company pursuant to the Share Buy-back Mandate will also be proposed at the Annual General Meeting.
The Directors wish to state that they have no immediate plan to issue any new Shares (including to sell or transfer any treasury Shares out of the treasury, if any) pursuant to the Issuance Mandate.
If approved by the Shareholders at the Annual General Meeting, the Issuance Mandate will continue in force until the earlier of (i) the conclusion of the next annual general meeting of the Company following the passing of the resolution referred to herein; (ii) the expiration of the period within which the next annual general meeting of the Company is required by any applicable laws or the Articles of Association to be held; or (iii) the revocation or variation of the Issuance Mandate by an ordinary resolution of the Shareholders in general meeting.

5. PROPOSED RE-APPOINTMENT OF AUDITOR
The financial statements of the Group for the year ended 31 December 2024 were audited by Beijing Xinghua Caplegend CPA Limited whose term of office will expire upon the conclusion of the Annual General Meeting.
Following the recommendation of the Audit Committee, the Board proposed to re-appoint Beijing Xinghua Caplegend CPA Limited as the auditor of the Company with a term expiring upon the next annual general meeting of the Company; and the Board proposed it be authorized to fix the remuneration of the auditor. An ordinary resolution in respect of the re-appointment of the auditor of the Company will be proposed at the Annual General Meeting for consideration and approval by the Shareholders and to authorise the Board to fix their remuneration for the year ending 31 December 2025.
6. ANNUAL GENERAL MEETING AND PROXY ARRANGEMENT
The notice of the Annual General Meeting is set out on pages 19 to 23 of this circular.
There is no Shareholder who has any material interest in the proposed resolutions, therefore none of the Shareholders are required to abstain from voting at the Annual General Meeting. Separately, holders of treasury Shares (if any) shall abstain from voting on matters that require Shareholders’ approval at the Company’s general meetings.
Pursuant to the Listing Rules and the Articles of Association, any vote of Shareholders at a general meeting must be taken by poll except where the chairman decides to allow a resolution relating to a procedural or administrative matter to be voted on by a show of hands. An announcement on the poll results will be published by the Company after the Annual General Meeting in the manner prescribed under the Listing Rules.
A form of proxy for use at the Annual General Meeting is enclosed with this circular and such form of proxy is also published on the websites of Hong Kong Exchanges and Clearing Limited (http://www.hkexnews.hk) and the Company (http://www.hexieauto.com). To be valid, the form of proxy must be completed and signed in accordance with the instructions printed thereon and deposited, together with the power of attorney or other authority (if any) under which it is signed or a certified copy of that power of attorney or authority at the Company’s branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong as soon as possible but in any event not less than 48 hours before the time appointed for the Annual General Meeting (i.e. not later than 10:00 a.m. on Monday, 16 June 2025) or any adjournment thereof. Completion and delivery of the form of proxy will not preclude you from attending and voting at the Annual General Meeting if you so wish and in such event, the form of proxy shall be deemed to be revoked.

7. CLOSURE OF REGISTER OF MEMBERS
The Register will be closed from Friday, 13 June 2025 to Wednesday, 18 June 2025 (both days inclusive) for determining the entitlement of the Shareholders to attend and vote at the Annual General Meeting, during which period no transfer of Shares will be effected.
Shareholders are reminded that in order to be eligible to attend and vote at the Annual General Meeting, all duly completed share transfer forms accompanied by the relevant share certificates must be lodged with the Company’s branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, for registration not later than 4:30 p.m. on Thursday, 12 June 2025.
8. RESPONSIBILITY STATEMENT
This circular, for which the Directors collectively and individually accept full responsibility, includes particulars given in compliance with the Listing Rules for the purpose of giving information with regard to the Company. The Directors, having made all reasonable enquiries, confirm that to the best of their knowledge and belief, the information contained in this circular is accurate and complete in all material respects and not misleading or deceptive, and there are no other matters the omission of which would make any statement herein or this circular misleading.
9. GENERAL INFORMATION
Your attention is drawn to the additional information set out in Appendix I (Details of the Retiring Directors Proposed to the Re-elected at the Annual General Meeting) and Appendix II (Explanatory Statement on the Share Buy-back Mandate).
10. RECOMMENDATION
The Directors consider that the proposed resolutions set out in the AGM Notice are in the best interests of the Company and the Shareholders. Accordingly, the Directors recommend the Shareholders to vote in favour of the relevant resolutions to be proposed at the Annual General Meeting.

APPENDIX I DETAILS OF THE RETIRING DIRECTORS PROPOSED TO BE RE-ELECTED AT THE ANNUAL GENERAL MEETING
The following are details of the Directors who will retire and being eligible, offer themselves for re-election at the Annual General Meeting.
(1) Mr. FENG Changge (馮長革先生), aged 54, Executive Director
Position
Mr. FENG Changge (“Mr. FENG Changge”) was appointed as an executive Director, the Chairman of the Board, the Chairman of the Nomination Committee of the Company on 24 September 2012, and a director of Eagle Seeker Company Limited, a substantial shareholder of the Company.
Experience
Mr. FENG Changge is responsible for the overall strategic and business direction of the Group. He is the founder of the Group, and has been in the automobile industry since 2005 when he founded Henan Zhongdebao Automobile Sales & Services Co., Ltd (“Zhongdebao”). Zhongdebao is a wholly owned subsidiary of the Company and the first BMW dealership outlet in Henan Province. Mr. FENG Changge graduated with a bachelor’s degree in economic law from Central South Institute of Law (中南政法學院) (now known as Zhongnan University of Economics and Law (中南財經政法大學) in 1992 and received a master’s degree in law from the same institution in 2001. After graduation in 1992, Mr. FENG Changge entered the judiciary in Henan Province, serving as assistant judge and judge of the Higher People’s Court of Henan Province (河南省高級人民法院). In 2002, Mr. FENG Changge left the judicial system and established a law firm, while at the same time starting various business enterprises. He became involved in real estate investment through his vehicle, Yuanda Investment, and was also involved in the auction and valuation businesses. He is also the controlling shareholder of Hexie Industrial Group, a privately owned group headquartered in Zhengzhou Henan Province, China, with business interests focusing on branded and luxury lifestyle goods and services, including property development, golf courses and automobile sales.
Saved as disclosed above, Mr. FENG Changge neither holds any position with the Company and other members of the Group nor any directorships in any other companies listed on any securities market in Hong Kong or overseas over the past three years.

APPENDIX I DETAILS OF THE RETIRING DIRECTORS PROPOSED TO BE RE-ELECTED AT THE ANNUAL GENERAL MEETING
Length of service
Mr. FENG Changge has entered into a service agreement with the Company, with a term of three years from 24 September 2024 and shall be subject to retirement and re-election at an annual general meeting of the Company at least once every 3 years pursuant to the Articles of Association of the Company.
Relationship
Mr. FENG Changge is the husband of Ms. MA Lintao and the father of Mr. FENG Shaolun, both being executive Directors of the Company, and a director of Eagle Seeker Company Limited, a controlling shareholder (as defined in the Listing Rules) of the Company. Mr. FENG Changge is also the trust founder of Cititrust Private Trust (Cayman) Limited, which indirectly holds Eagle Seeker Company Limited, a controlling shareholder of the Company through Eagle Pioneer Company Limited.
Save as disclosed herein, Mr. FENG Changge does not have any relationship with any Directors, senior management, substantial shareholders or controlling shareholders of the Company.
Interests in Shares
Pursuant to Part XV of the SFO, as at the Latest Practicable Date, Mr. FENG Changge was interested in 708,364,660 Shares of the Company and was granted 2,500,000 share options of the Company.
Director's emoluments
The remuneration of Mr. FENG Changge will be determined with reference to his relevant duties and responsibilities in the Company, the relevant experience and the prevailing market condition. The total remuneration of Mr. FENG Changge for the year ended 31 December 2024 was RMB2,118,000.

APPENDIX I DETAILS OF THE RETIRING DIRECTORS PROPOSED TO BE RE-ELECTED AT THE ANNUAL GENERAL MEETING
Other information and matters that need to be disclosed and brought to the attention of the Shareholders
There is no information which is discloseable nor is Mr. FENG Changge involved in any of the matters required to be disclosed pursuant to any of the requirements under Rule 13.51(2)(h) to (v) of the Listing Rules and there are no other matters concerning Mr. FENG Changge that need to be brought to the attention of the Shareholders.
(2) Mr. FENG Shaolun (馮少俞先生), aged 29, Executive Director
Position
Mr. FENG Shaolun (“Mr. FENG Shaolun”) was appointed as an executive Director of the Company and Deputy-president of the Board on 7 December 2021.
Experience
Mr. FENG Shaolun graduated from the University of California, Irvine, majoring in Aerospace Engineering. He has won five championships of the National Junior Aerospace Model and the titles of national firstclass athlete and national sportsman. During his studies overseas, Mr. FENG Shaolun established what is now California's largest Chinese integrated car repair center and racing club, and set up the Harmony Racing Team (“Harmony Racing”) in China in 2021. Harmony Racing brought home double championships in the 68th Macau Grand Prix in November 2021.
Since his joining the Company, Mr. FENG Shaolun has been committed to the expansion and management of all brands of the Company, including but not limited to BMW, Lexus, Ferrari, Bentley, Rolls-Royce, Maserati, Land Rover, Lincoln, etc. Later, Mr. FENG Shaolun joined Zhengzhou Zhongdebao Automobile Sales & Service Co., Ltd and engaged in the overall management, serving successively as salesman, sales deputy manager, deputy manager of after-sales service, deputy general manager of the store.
Mr. FENG Shaolun is also the chairman of Henan Harmony Real Estate Group and the chairman of Henan Jinsha Lake International Golf Club Co., Ltd..
Saved as disclosed above, Mr. FENG Shaolun neither holds any position with the Company and other members of the Group nor any directorships in any other companies listed on any securities market in Hong Kong or overseas over the past three years.

The remuneration of Mr. FENG Shaolun will be determined with reference to his relevant duties and responsibilities in the Company, the relevant experience and the prevailing market condition. The total remuneration of Mr. FENG Shaolun for the year ended 31 December 2024 was RMB1,801,000.

(3) Mr. CHENG Junqiang (成軍強先生), aged 45, Executive Director
Position
Mr. CHENG Junqiang (“Mr. CHENG Junqiang”) was appointed an executive Director on 5 January 2022 and is currently the chief operating officer of the Company.
Experience
Mr. CHENG Junqiang majored in automotive application engineering, has nearly 20 years of experience in the automotive industry since graduation. Mr. CHENG Junqiang joined the Company in 2007 and served as the general manager of Zhengzhou Yuanda Lexus Automobile Sales & Services Co., Ltd. (鄭州遠達雷克薩斯汽車銷售服務有限公司) and the brand director of Lexus under Harmony Auto.
Prior to his appointment as an executive director, Mr. CHENG Junqiang served as the chief operating officer of the Company and managed all 4S stores of luxury and ultra-luxury brands under Harmony Auto. Mr. CHENG Junqiang is responsible for the overall operation of the brand. He adheres to the concept of refined management, devotes himself to improving the execution capability and detailed operation level of the stores he managed, continues to deepen the development of automobile industry, and creates a 4S store operation system with the “harmony” characteristic.
Saved as disclosed above, Mr. CHENG Junqiang neither holds any position with the Company and other members of the Group nor any directorships in any other companies listed on any securities market in Hong Kong or overseas over the past three years.
Length of service
Mr. CHENG Junqiang has entered into a service agreement with the Company, with a term of three years from 5 January 2025 and shall be subject to retirement and re-election at an annual general meeting of the Company at least once every 3 years pursuant to the Articles of Association of the Company.
Relationship
Mr. CHENG Junqiang does not have any relationship with any Director, senior management, substantial or controlling shareholder (as defined in the Listing Rules) of the Company.

Mr. CHENG Junqiang may also be entitled to a bonus for each financial year of the Company which is at the discretion of the Board and determined by reference to his individual performance and the Group's performance for the financial year concerned.

APPENDIX II EXPLANATORY STATEMENT ON THE SHARE BUY-BACK MANDATE
The following is an explanatory statement required by the Listing Rules to provide the Shareholders with requisite information reasonably necessary for them to make an informed decision on whether to vote for or against the ordinary resolution to be proposed at the Annual General Meeting in relation to the granting of the Share Buy-back Mandate. This explanatory statement contains all the information required pursuant to Rule 10.06(1)(b) and other relevant provisions of the Listing Rules which is set out as follows:
- SHARE CAPITAL
As at the Latest Practicable Date, the issued share capital of the Company comprised 1,523,264,677 Shares.
Subject to the passing of the ordinary resolution set out in item 4 of the notice of the Annual General Meeting in respect of the granting of the Share Buy-back Mandate and on the basis that the issued share capital of the Company remains unchanged on the date of the Annual General Meeting, i.e. being 1,523,264,677 Shares, the Directors would be authorized under the Share Buy-back Mandate to repurchase, during the period in which the Share Buy-back Mandate remains in force, a total of 152,326,467 Shares, representing 10% of the total number of Shares in issue (excluding any treasury Shares, if any) as at the date of the Annual General Meeting.
- REASONS FOR SHARE BUY-BACK
The Directors believe that the granting of the Share Buy-back Mandate is in the best interests of the Company and the Shareholders.
Shares buy-back may, depending on the market conditions and funding arrangements at the time, lead to an enhancement of the net asset value per Share and/or earnings per Share and will only be made when the Directors believe that such a buy-back will benefit the Company and the Shareholders.
- FUNDING OF SHARE BUY-BACK
The Company may only apply funds legally available for share buy-back in accordance with its Articles of Association, the laws of Cayman Islands and/or any other applicable laws, as the case may be. A listed company may not repurchase its own securities on the Stock Exchange for a consideration other than cash or for settlement otherwise than in accordance with the trading rules of the Stock Exchange.

4. IMPACT OF SHARE BUY-BACK
There might be a material adverse impact on the working capital or gearing position of the Company (as compared with the position disclosed in the audited accounts contained in the annual report of the Company for the year ended 31 December 2024) in the event that the Share Buy-back Mandate was to be carried out in full at any time during the proposed buy-back period. However, the Directors do not intend to exercise the Share Buy-back Mandate to such extent as would, in the circumstances, have a material adverse effect on the working capital requirements of the Company or the gearing levels which in the opinion of the Directors are from time to time appropriate for the Company.

6. GENERAL
To the best of their knowledge and having made all reasonable enquiries, none of the Directors nor any of their respective close associates (as defined in the Listing Rules) have any present intention to sell any Shares to the Company in the event that the granting of the Share Buy-back Mandate is approved by the Shareholders.
APPENDIX II EXPLANATORY STATEMENT ON THE SHARE BUY-BACK MANDATE
The Company has not been notified by any core connected persons (as defined in the Listing Rules) of the Company that they have a present intention to sell any Shares to the Company, or that they have undertaken not to sell any Shares held by them to the Company in the event that the granting of the Share Buy-back Mandate is approved by the Shareholders.
The Directors have no present intention to exercise the Share Buy-back Mandate to an extent which will result in the number of the Shares held by the public being reduced to less than 25% of the total issued share capital of the Company as required under Rule 8.08 of the Listing Rules.
The Directors will exercise the power of the Company to repurchase Shares pursuant to the Share Buy-back Mandate in accordance with the Listing Rules and the applicable laws of Cayman Islands.
The Company has confirmed that neither the explanatory statement nor the proposed share repurchase has any unusual features.
The Company may cancel such repurchased Shares or hold them as treasury Shares, subject to market conditions and the Group's capital management needs at the relevant time of the repurchases. Shareholders and potential investors of the Company should pay attention to any announcement to be published by the Company in the future, including but without limitation, any next day disclosure return and any relevant monthly return.
For any treasury Shares deposited with CCASS pending resale on the Stock Exchange, the Company shall (i) procure its broker not to give any instructions to HKSCC to vote at general meetings of the Company for the treasury Shares deposited with CCASS; and (ii) in the case of dividends or distributions, withdraw the treasury Shares from CCASS, and either re-register them in its own name as treasury Shares or cancel them, in each case before the record date for the dividends or distributions, or take any other measures to ensure that it will not exercise any Shareholders' rights or receive any entitlements which would otherwise be suspended under the applicable laws if those Shares were registered in its own name as treasury Shares.
- TAKEOVERS CODE
If as a result of the repurchase of Shares pursuant to the Share Buy-back Mandate, a Shareholder's proportionate interest in the voting rights of the Company increases, such increase will be treated as an acquisition of voting rights for the purposes of the Takeovers Code. Accordingly, a Shareholder or a group of Shareholders acting in concert (within the meaning under the Takeovers Code), depending on the level of increase in the Shareholder's interest, could obtain or consolidate control of the Company and thereby become obliged to make a mandatory offer in accordance with Rule 26 of the Takeovers Code.

APPENDIX II EXPLANATORY STATEMENT ON THE SHARE BUY-BACK MANDATE
To the best knowledge of the Company, as at the Latest Practicable Date, Mr. FENG Changge, the controlling Shareholder (as defined in the Listing Rules), was interested and deemed to be interested in an aggregate of 710,864,660 Shares representing approximately 46.66% of the total issued share capital of the Company. Such 710,864,660 Shares comprised of 2,500,000 Shares (representing approximately 0.16% of the total issued share capital of the Company) held by himself directly as beneficial owner and 708,364,660 Shares (representing approximately 46.50% of the total issued share capital of the Company) held by Eagle Seeker Company Limited. Mr. FENG Changge is a director of Eagle Seeker Company Limited. Mr. FENG Changge is also the trusts founder of Cititrust Private Trust (Cayman) Limited, which indirectly holds Eagle Seeker Company Limited through Eagle Pioneer Company Limited. On the other hand, Ms. MA Lintao is Mr. FENG Changge's spouse and is therefore deemed to be interested in all the Shares in which Mr. FENG Changge is interested in, which was 710,864,660 Shares representing approximately 46.66% of the total issued share capital of the Company as at the Latest Practicable Date. Mr. FENG Shaolun, being the beneficiary, was deemed to be interested in the said 708,364,660 Shares by virtue of Eagle Seeker being held indirectly by Cititrust Private Trust (Cayman) Limited through Eagle Pioneer Company Limited. He was interested in 708,364,660 Shares representing approximately 46.50% of the total issued share capital of the Company as at the Latest Practicable Date. In the event that the Directors exercise the proposed Share Buy-back Mandate in full, the aggregate shareholding of Mr. FENG Changge, Ms. Ma Lintao and Mr. FENG Shaolun would be increased to approximately 51.85%, 51.85% and 51.67% of the issued share capital of the Company, respectively.
The Directors consider that such increase in shareholding would give rise to an obligation to make a mandatory offer under Rule 26 of the Takeovers Code. Save as aforesaid, the Directors are not aware of any consequences which would arise under the Takeovers Code as a consequence of any repurchases pursuant to the Share Buy-back Mandate. The Directors do not propose to exercise the Share Buy-back Mandate to such an extent as would, in the circumstances, give rise to an obligation to make a mandatory offer in accordance with Rule 26 of the Takeovers Code.
8. SHARE BUY-BACK MADE BY THE COMPANY
During the 6 months prior to the Latest Practicable Date, the Company had not bought back any of the Shares (whether on the Stock Exchange or otherwise).

(ii) the expiration of the period within which the next annual general meeting of the Company is required by the Articles of Association of the Company or any applicable laws to be held; and
(iii) the date on which the authority set out in this resolution is revoked or varied by an ordinary resolution of the shareholders of the Company in general meeting."

(a) subject to paragraph (c) below, a general mandate be and is hereby generally and unconditionally given to the Directors during the Relevant Period (as defined below) to allot, issue and deal with additional Shares in the capital of the Company (including any sale or transfer of treasury Shares out of treasury, if any) and to make or grant offers, agreements and options which might require the exercise of such powers;
(b) the mandate in paragraph (a) above shall authorize the Directors to make or grant offers, agreements and options during the Relevant Period which would or might require the exercise of such powers after the end of the Relevant Period;
(c) the aggregate number of Shares allotted, issued or dealt with or agreed conditionally or unconditionally to be allotted, issued or dealt with (whether pursuant to an option or otherwise) by the Directors pursuant to the mandate in paragraph (a) above, otherwise than pursuant to:
(i) a Rights Issue (as defined below);
(ii) the exercise of options under a share option scheme of the Company;

shall not exceed 20% of the total number of issued Shares (excluding any treasury Shares, which shall have the meaning ascribed to it under the Listing Rules, if any) as at the date of passing of this resolution, and if any subsequent consolidation or subdivision of Shares is conducted, the maximum number of Shares that may be issued under the mandate in paragraph (a) above as a percentage of the total number of issued Shares at the date immediately before and after such consolidation or subdivision shall be the same; and

All resolutions at the meeting will be taken by poll (except where the chairman decides to allow a resolution relating to a procedural or administrative matter to be voted on by a show of hands) pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”). For the avoidance of doubt and for the purpose of the Listing Rules, holders of treasury shares of the Company (if any) are not entitled to vote at this meeting. The results of the poll will be published on the websites of Hong Kong Exchanges and Clearing Limited and the Company in accordance with the Listing Rules.

Any shareholder of the Company entitled to attend and vote at the above meeting is entitled to appoint a proxy/more than one proxy to attend and vote instead of him/her/it. A proxy need not be a shareholder of the Company. If more than one proxy is appointed, the number of shares in respect of which each such proxy so appointed must be specified in the relevant form of proxy. Every shareholder present in person or by proxy shall be entitled to one vote for each share held by him/her/it.

In order to be valid, the form of proxy together with the power of attorney or other authority, if any, under which it is signed or a certified copy of that power of attorney or authority, must be deposited at the Company’s branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, not less than 48 hours before the time appointed for the above meeting (i.e. not later than 10:00 a.m. on Monday, 16 June 2025) or any adjournment thereof. Completion and delivery of the form of proxy shall not preclude a shareholder of the Company from attending and voting in person at the meeting and, in such event, the instrument appointing a proxy shall be deemed to be revoked.
For determining the entitlement to attend and vote at the above meeting, the Register of Members of the Company will be closed from Friday, 13 June 2025 to Wednesday, 18 June 2025 (both days inclusive), during which period no transfer of shares will be registered. In order to be eligible to attend and vote at the annual general meeting, the unregistered holders of shares of the Company shall ensure that all duly completed share transfer forms accompanied by the relevant share certificates must be lodged with the Company’s branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong for registration not later than 4:30 p.m. on Thursday, 12 June 2025. In the event that the meeting is adjourned to a date later than Wednesday, 18 June 2025 due to bad weather conditions or other reasons, the period of closure of the Register of Members of the Company for determination of shareholders’ entitlement to attend and vote at the above meeting will remain the same as stated above.
