Pre-quotation disclosure

Chimeric Therapeutics Limited’s ( Chimeric or Company ) initial public offer made under the prospectus dated 23 November 2020 ( Prospectus ) closed successfully on 10 December 2020, with the offer being fully subscribed. Chimeric has 330,526,401 shares on issue following the Offer.

Quotation of 196,500,000 of Chimeric’s shares (being those shares not subject to ASX mandatory escrow) is expected to occur at 11.00am (Sydney time) on 18 January 2021 (ASX code: CHM).

Shareholdings

The following information has been separately released as a pre-quotation disclosure:

• (a) Distribution schedule; and

• (b) Top 20 shareholders list.

Share issuance

As described in the Prospectus, Chimeric confirms the issuance of:

• (a) 6,106,996 ordinary fully paid shares to City of Hope Cancer Centre on 29 September 2020 under the licence agreement between CHM and City of Hope dated 24 July 2020 (Licence Agreement’);

• (b) 5,526,338 ordinary fully paid shares to City of Hope under the Licence Agreement;

• (c) 28,666,731 ordinary fully paid shares on conversion of all Convertible Notes (as defined in the Prospectus) on issue;

• (d) 2,750,000 unquoted options exercisable at $0.20, on or before 4 years from the date of issue to Ms Leslie Chong;

• (e) 2,750,000 unquoted options exercisable at $0.20, on or before 4 years from the date of issue to Ms Lesley Russell;

• (f) 6,280,002 unquoted options exercisable at $0.20, on or before 4 years from the date of issue to Dr Syed Rizvi;

• (g) 6,280,002 unquoted options exercisable at $0.20, on or before 5 years from the date of issue to Ms Jennifer Chow;

• (h) 2,478,949 unquoted options exercisable at $0.30, on or before 3 years from the date of issue to Bell Potter Securities Limited under Offer Management Agreement (as defined in the Prospectus);

• (i) 1,239,474 unquoted options exercisable at $0.30, on or before 3 years from the date of issue to Baker Young Limited under Offer Management Agreement (as defined in the Prospectus); and

• (j) 1,239,474 unquoted options exercisable at $0.30, on or before 3 years from the date of issue to Meet the CEO Pty Limited under Offer Management Agreement (as defined in the Prospectus).

Restricted securities

As stated in the Prospectus at section 9.7, the existing shareholders have entered into mandatory restriction deeds with the Company.

The total number of restricted shares held by existing shareholders is 134,026,402. Chimeric confirms that the following shares are subject to escrow for the following periods:
