Item 5.03 Amendments to Bylaws.

The Board of Directors of Chesapeake Utilities Corporation (“Chesapeake” or the “Company”) has approved Amended and Restated Bylaws pursuant to which Article VI, of the Company’s Bylaws was amended effective as of December 12, 2007. Effective January 1, 2008, companies listed on the New York Stock Exchange are required to be eligible to participate in the Direct Registration System administered by the Depository Trust Company. The amendments to the Company’s Bylaws permit shares of the Company’s stock to be issued as certificated or uncertificated and are intended to make the Company eligible to participate in the Direct Registration System.
