Declaration on the German Corporate Governance Code pursuant to Section 161 of the German Stock Corporation Act (AktG)

The Management Board and the Supervisory Board of Cherry AG jointly declare pursuant to Section 161 of the German Stock Corporation Act (AktG):

The recommendations contained in the "Government Commission on the German Corporate Governance Code" in the version dated December 16, 2019 ("GCGC 2020") and published by the Federal Ministry of Justice and Consumer Protection on March 20, 2020 in the official section of the Federal Gazette have been complied with since June 15, 2021 (the date of the securities prospectus for the public offering of the shares of the company for the admission to trading on the regulated market of the Frankfurt Stock Exchange) and will continue to be complied with in the future.
