Sub.: Outcome of Board Meeting

Dear Sir/Madam,

We wish to inform you that the Board of Directors at its meeting held today i.e. April 24, 2025, has considered, noted and approved the following matters:

Effectiveness of the Composite Scheme of Arrangements (“Scheme”):

We refer to our letter no. SE/CS/2025-26/05 dated April 22, 2025, wherein we had informed that in terms of Sections 230-232 of the Companies Act, 2013, read with the rules made thereunder, the Hon’ble National Company Law Tribunal, Mumbai Bench (“NCLT”) had sanctioned the Scheme vide its order dated April 7, 2025.

In this regard, the Board at its meeting held today considered/ noted / approved the following:

• a) Noted receipt of the certified copy of the order dated April 22, 2025, from NCLT inter-alia sanctioning the Scheme. The NCLT Order is accessible on the website of the Company at www.chembondindia.com and the website of the NCLT.

• b) Appointed date for the Composite Scheme of Arrangement between Chembond Chemicals Limited (“Demerged Company” / “Transferee Company”) and Chembond Chemical Specialties Limited (“Resulting Company”) and Chembond Clean Water Technologies Limited (“Transferor Company No. 1”) and Chembond Material Technologies Private Limited (“Transferor Company No. 2”) and Phiroze Sethna Private Limited (“Transferor Company No. 3”) and Gramos Chemicals (India) Private Limited (“Transferor Company No. 4”) and their respective shareholders is April 1, 2024.

• c) Effective Date will be the date on which the certified order of NCLT sanctioning the Scheme will be filed by Company, Resulting Company, Transferor Company no. 1, 2, 3 and 4 with the Registrar of Companies (“ROC”). The same will be intimated to Stock exchanges in due course.

• d) The Record Date arrived in consultation with Chembond Chemical Specialties Limited (“Resulting Company”), for determining the shareholders of Company who shall be issued and allotted the shares of Resulting Company under the Scheme will be Friday, May 9, 2025 .

The Board Meeting of the Company commenced at 3:00 p.m. and concluded at 4.55 p.m.
