EXPLANATORY NOTE

This registration statement on Form S-8 (this “ Registration Statement ”) is being filed with the Securities and Exchange Commission (the “ Commission ”) to register the offer, issuance and sale of an additional 700,000 ordinary shares, par value NIS 0.01 per share (“ Ordinary Shares ”), of Check Point Software Technologies Ltd., a company organized under the laws of Israel (the “ Company ,” the “ Registrant ,” “ we ” or “ us ”) issuable by the Registrant to its and/or its participating subsidiaries’ employees under the Check Point Software Technologies Ltd. Employee Stock Purchase Plan (Non-U.S. Employees), as amended (the “ Plan ”).

In accordance with General Instruction E of Form S-8, the contents of the Registrant’s Registration Statements on Form S-8 Nos. 333-211113 and 333-240141 filed with the Commission on May 4, 2016 and July 28, 2020, are incorporated herein by reference, and the information required by Part II is omitted, except as supplemented by the information set forth below.
