Notice Under Section 708A

This notice if given by Chariot Corporation Limited (ASX:CC9) (‘the Company’) pursuant to Section 708A(5)(e) of the Corporations Act 2001 (Cth) ('Corporations Act').

Chariot advises that on 24 February 2025 it has issued 1,250,000 fully paid ordinary shares (ASX:CC9) being 250,000 fully paid ordinary shares ($50,000) invested by the directors of the company, which was subject to shareholder approval and 1,000,000 fully paid ordinary shares in part consideration for the Black Mountain Project (refer ASX Announcement of 13 December 2024).

The fully paid ordinary shares are part of a class of securities quoted on the Australian Securities Exchange Limited (ASX).

The Company hereby gives notice under section 708A(5)(e) of the Corporations Act that:

• (a) The Shares were issued without disclosure under Part 6D.2 of the Corporations Act.

• (b) As at the date of this notice, the Company has complied with:

  • (i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • (ii) section 674 and section 674A of the Corporations Act.

• (c) As at the date of this notice, there is no 'excluded information' as defined in sections 708A(7) and (8) of the Corporations Act.
