Notice Under Section 708A

This notice if given by Chariot Corporation Limited (ASX:CC9) (‘the Company’) pursuant to Section 708A(5)(e) of the Corporations Act 2001 (Cth) ('Corporations Act').

Chariot advises that on 28 October 2024 it has issued 7,342,000 fully paid ordinary shares (ASX:CC9) at $0.20 per share to raise $1,468,400 as part of Tranche 1 of the placement announced on 21 October 2024. The balance of the placement, being $150,000 being invested by the directors of the company, is subject to shareholder approval. A notice of meeting will be sent to shareholders in respect of a meeting to be held in December.

The fully paid ordinary shares are part of a class of securities quoted on the Australian Securities Exchange Limited (ASX).

The Company hereby gives notice under section 708A(5)(e) of the Corporations Act that:

• (a) The Shares were issued without disclosure under Part 6D.2 of the Corporations Act.

• (b) As at the date of this notice, the Company has complied with:

  • (i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • (ii) section 674 and section 674A of the Corporations Act.

• (c) As at the date of this notice, there is no 'excluded information' as defined in sections 708A(7) and (8) of the Corporations Act.
