Item 7.01 Regulation FD Disclosure.

On July 14, 2021, ChargePoint Holdings, Inc. (the “Company”) issued a press release announcing the pricing of an underwritten secondary offering of 12,000,000 shares of the Company’s common stock, par value $0.0001 per share (“Common Stock”), by certain selling stockholders of the Company (the “Selling Stockholders”). In addition, the Selling Stockholders have granted the underwriters a 30-day option to purchase up to an additional 1,800,000 shares of Common Stock at the public offering price, less underwriting discounts and commissions. A copy of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.1 and incorporated into this Item 7.01 by reference.
