Director/PDMR Shareholdings, Issue of Equity and Grant of Options

Chapel Down Group plc, the Aquis listed English wine and drinks producer, announces that it has been informed that the following dealings in its ordinary shares of 5 pence each (“Ordinary Shares”) took place earlier today:

  • Staff exercised and subsequently sold 147,000 share options under the Company's Employee Share Option Scheme; and
  • Richard Woodhouse, Finance Director of the Company, exercised and subsequently sold 119,666 options over Ordinary Shares. The options were exercised at a price of 10 pence per Ordinary Share and were subsequently sold at a price of 75 pence per Ordinary Share. Following this sale, Mr Woodhouse’s total beneficial shareholding in the Company is 929,951 Ordinary Shares, representing approximately 0.64% of the Company’s enlarged issued share capital.

Martin Glenn, Chairman with effect from 1 July 2020, acquired 266,666 shares at 75 pence per Ordinary Share. Following the purchase, Mr Glenn’s total beneficial shareholding in the Company is 266,666 Ordinary Shares, representing approximately 0.18% of the Company’s enlarged issued share capital.

The Company has also today issued 713,332 options over Ordinary Shares (the “Options”) under the 2020 Option Scheme – 533,332 Options were issued to Martin Glenn and 180,000 Options were issued to key members of staff. The Options have an exercise price of 76.5 pence per Ordinary Share and are exercisable from 1 July 2023 or before in the event of any of the following:

  • a takeover;
  • a sale of the whole of the business and assets of the Company;
  • the admission of all or any of the shares in the capital of the Company to any recognised investment exchange (as defined in section 285 of the Financial Services and Markets Act 2000) other than the AQSE Growth Market (a New Listing)

Following the grant of Options, the Company has a total of 8,780,179 options over Ordinary Shares outstanding, representing 6.1% of the Company’s enlarged issued share capital.

Issue of Equity

Application has been made for 266,666 Ordinary Shares to be admitted to the Aquis Exchange, which will rank pari passu with the Company's existing Ordinary Shares, and admission to trading is expected to be effective on 25 June 2019 ("Admission").

Following Admission of the new Ordinary Shares, the Company will have 144,478,001 Ordinary Shares in issue with each share carrying the right to one vote. This figure may be used by shareholders as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
