2 Number of[+] securities issued or to 46,706,810 additional ordinary shares are to be be issued (if known) or maximum issued by Chalice Gold Mines Limited to number which may be issued acquire a 100% interest in Sub-Sahara Resources NL (ACN 061 104 158) (“SubSahara”) pursuant to the Scheme of Arrangement between Sub-Sahara and the holders of fully paid ordinary shares in SubSahara (the “Scheme”) as at the Record Date under the Scheme. Outside the terms of the Scheme but conditional on the Scheme coming into effect, Chalice Gold Mines has also agreed to issue a further 1,613,727 shares to acquire Sub-Sahara unlisted partly paid shares and unlisted options.

5 Issue price or consideration
Pursuant to the Scheme and as set out in the Scheme Booklet dated 3 July 2009 (lodged with ASX on 3 July 2009), 1 Chalice Gold Mines ordinary share has been issued for approximately every 10.73 Sub-Sahara ordinary shares held by Sub-Sahara shareholders as at the Record Date (21 August 2009) under the Scheme.

Quotation agreement

1 +Quotation of our additional +securities is in ASX’s absolute discretion. ASX may quote the[+] securities on any conditions it decides.

2 We warrant the following to ASX.

The issue of the[+] securities to be quoted complies with the law and is not for an illegal purpose.

There is no reason why those[+] securities should not be granted[+] quotation.

An offer of the[+] securities for sale within 12 months after their issue will not require disclosure under section 707(3) or section 1012C(6) of the Corporations Act.
Note: An entity may need to obtain appropriate warranties from subscribers for the securities in order to be able to give this warranty
